1. Accounts and authority
You must be at least 18 years old and able to enter a binding contract, or use Batawn through an organisation whose authorised adult agrees to these Terms. If you use Batawn for a company or team, you represent that you have authority to bind that organisation. You are responsible for your account, the people you invite, and activity performed through credentials or installation keys you control.
Batawn is a collaboration service for people who already trust one another to work on the same repositories. A room invitation does not replace your own access controls, employment agreements, or repository permissions.
2. The service
Batawn gives people and coding-agent sessions a shared room containing an objective, messages, tasks, claims, approvals, agent state, repository context, changes, and a replayable event record. Agents run in each person’s own Claude Code or Codex installation, on that person’s machine and subscription. Batawn does not provide model inference and does not hold your model-provider key.
Agent output may be incomplete, insecure, or wrong. You remain responsible for reviewing commands, code, pull requests, and changes before relying on or deploying them. Host-tool permission prompts and repository protections continue to apply.
3. GitHub and repositories
A team owner may install Batawn’s GitHub App on selected repositories. You represent that you are authorised to grant that access. Batawn verifies the signed-in GitHub user, the exact installation, and the repositories GitHub reports that user can write before recording the connection. Installation tokens are short-lived and scoped to the operation being performed.
You retain all ownership of your repositories and Customer Content. You grant Batawn only the limited right to host, copy, transmit, and otherwise process Customer Content as necessary to operate, secure, support, and improve the service under the Privacy Policy. This licence ends when the relevant content is deleted, except for lawful backups, security records, and records we must retain.
4. Teams and controls
A team owner controls membership, billing, GitHub connections, and team deletion. Room owners control room access and can remove participants. People in a room can communicate with agents and may be able to request controls described in the interface. Some controls wait for approval from the person whose machine runs the agent. You are responsible for choosing teammates and room participants who may safely receive those capabilities.
5. Trial, pricing, and payment
A new team receives a 14-day trial with three seats and no payment card required. The trial does not automatically become paid. Continued use after the trial requires an explicit subscription checkout with at least two seats.
Paid subscriptions are billed monthly in US dollars. The first ten seats are $25 per seat per month, and seats above ten are $20 per seat per month. Applicable taxes may be added. Subscriptions renew until cancelled. Stripe processes payments; Batawn does not store complete card numbers.
Added seats may be charged on a prorated basis. Reducing seats may create a prorated account credit applied by Stripe to a later invoice. A credit is not a cash refund.
6. Cancellation and refunds
A team owner may cancel through the Stripe billing portal. Cancellation takes effect at the end of the current paid billing period. Access continues through that period unless the team is deleted or suspended for cause. Payments are non-refundable and we do not provide prorated cash refunds, except where required by law.
Deleting a team is immediate: it removes the team’s rooms and associated content and cancels its subscription. Deleting a team does not create a refund for unused time.
7. Customer Content
“Customer Content” includes room messages, prompts, objectives, tasks, shared instructions and context files, file paths, repository metadata, diffs, terminal output, checkpoints, comments, and other material submitted to or produced through a room. You represent that you have the rights needed to submit it and permit Batawn to process it.
Batawn does not sell Customer Content or use it to train general-purpose AI models. Infrastructure providers may process it only as needed to host and deliver the service. Customer Content is excluded from product analytics and error-monitoring payloads through masking, capture restrictions, and server configuration.
8. Acceptable use
You may not use Batawn to:
- access a repository, account, system, or data without permission;
- violate law, sanctions, export controls, or another person’s rights;
- distribute malware, attack systems, evade security controls, or interfere with the service;
- share access credentials with people who are not authorised to use them;
- probe another customer’s rooms, identity, repositories, or data; or
- use Batawn in a way that violates GitHub, Anthropic, OpenAI, or another provider’s terms.
9. Third-party services
Batawn interoperates with services such as GitHub, Stripe, Supabase, Vercel, Google Workspace, Resend, PostHog, Sentry, Claude Code, and Codex. Your use of those services remains governed by their agreements. We are not responsible for a third party’s service, availability, or changes outside our control.
10. Suspension and termination
You may stop using Batawn at any time. We may restrict or suspend access when reasonably necessary to protect customers or the service, respond to legal requirements, address non-payment, or investigate a material breach. We will provide notice when reasonably possible. We may terminate an account for a material or repeated breach.
11. Intellectual property and feedback
Batawn and its software, design, and documentation are owned by the operator or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service during the applicable trial or subscription. If you provide feedback, you permit us to use it without restriction or payment, without identifying you or disclosing Customer Content.
12. Disclaimers
To the extent permitted by law, Batawn is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant agent output, repository changes, or results produced through third-party tools.
13. Limitation of liability
To the extent permitted by law, Batawn and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Total liability arising from the service will not exceed the amount you paid Batawn during the twelve months before the event giving rise to the claim. These limits do not apply where law prohibits them.
14. Governing law
California law governs these Terms without regard to conflict-of-law rules. Courts located in Santa Clara County, California have exclusive jurisdiction, except where consumer or other mandatory law requires a different forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Changes
We may update these Terms as the service changes. We will post the new version and effective date. If a change materially affects your rights or obligations, we will provide reasonable notice and require renewed acceptance before continued protected use. Previous acceptance records remain part of the agreement history.
16. General terms
These Terms, the Privacy Policy, and the Data Processing Addendum form the agreement concerning Batawn. If one provision is unenforceable, the rest remain effective. A failure to enforce a provision is not a waiver. You may not assign the agreement without our consent; we may assign it as part of a business transfer. Section headings are for convenience.
17. Who provides Batawn
Batawn is operated by Aditya Tickoo as a sole proprietor in San Jose, California, United States. Because Aditya is a minor, Amrit Tickoo, his legal guardian, has consented to the operation of Batawn and acts as its adult representative for these Terms. In these Terms, “Batawn,” “we,” and “us” refer to that business.
